Ella Tax Services LLC – Terms of Service

Services may be delivered through digital platforms, third-party tools, or direct consultation.

2. No Legal or Tax Advice Guarantee

While we provide tax-related services, nothing on our platform or in our communications constitutes legal advice.

Unless explicitly stated in a separate written agreement:

  • We are not acting as your CPA, attorney, or fiduciary
  • You are responsible for final decisions regarding your finances and filings

3. User Accounts

To access certain services, you may be required to create an account.

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of unauthorized use

You are responsible for all activity under your account.

4. Client Obligations

You agree that:

  • All information and documents you provide are true, accurate, and complete
  • You will promptly provide any additional requested information
  • You will review all filings and documents prior to submission

Ella Tax Services LLC is not responsible for errors resulting from incomplete, inaccurate, or delayed information.

5. Authorization to File and Act

By using our services, you authorize Ella Tax Services LLC to:

  • Prepare and submit tax filings on your behalf
  • Communicate with relevant tax authorities
  • Use your information to complete requested services

Where required, additional authorization forms (e.g., IRS forms) will be provided and must be signed.

6. Fees and Payment

  • Fees will be disclosed before services are performed
  • Payment may be required upfront, upon completion, or via subscription
  • Subscription services may automatically renew unless canceled

By providing a payment method, you authorize Ella Tax Services LLC to:

  • Charge all agreed fees
  • Charge any outstanding balances for completed services

Failure to pay may result in suspension or termination of services.

7. Refunds

All fees are non-refundable once services have been initiated or completed, unless otherwise stated in writing.

8. Deadlines and Client Delays

You acknowledge that:

  • Timely submission of documents is your responsibility
  • Ella Tax Services LLC is not responsible for missed deadlines caused by client delays

9. Third-Party Services

We may use third-party providers (e.g., software, payment processors, filing systems).

We are not responsible for:

  • Failures or delays caused by third-party services
  • Actions or policies of those providers

10. No Guarantee of Results

We do not guarantee:

  • Tax refunds or financial outcomes
  • Acceptance of filings by tax authorities
  • Error-free results under all circumstances

Results depend on information provided and applicable laws.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Ella Tax Services LLC shall not be liable for indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the total amount paid by you for the specific service giving rise to the claim

12. Indemnification

You agree to indemnify and hold harmless Ella Tax Services LLC from any claims, damages, or liabilities arising from:

  • Your misuse of services
  • Inaccurate or incomplete information provided by you
  • Your violation of these Terms

13. Intellectual Property

All content, software, branding, and materials are the property of Ella Tax Services LLC and may not be copied, distributed, or used without permission.

14. Termination

We reserve the right to suspend or terminate your access to services at any time if:

  • You violate these Terms
  • Fraudulent or suspicious activity is detected
  • Payment obligations are not met

15. Dispute Resolution

Any disputes arising under these Terms shall be resolved through binding arbitration, and not through court proceedings or class actions, except where prohibited by law.

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which Ella Tax Services LLC operates.

Your use of our services is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

18. Modifications

We may update these Terms at any time. Continued use of our services after updates constitutes acceptance of the revised Terms.
